Recognise the topics in a business agreement
Business service area: Business Contracts. Internal offering: Understand. Universal need: Understand. Availability: Information only.
Business agreements can address payment, scope, responsibilities, renewal, information handling and risk. These free explanations help you recognise topics to look for and questions to ask, without deciding what your agreement legally means.
Twelve contract topics to explore
These explanations describe common headings and information to look for. They are not clause interpretations.
Payment terms
Look for amounts, due dates, invoicing methods and how a payment query is handled. The legal effect of the wording may need professional assessment.
Scope and deliverables
Locate the description of goods or services, milestones, responsibilities and any process for confirming completion.
Termination clauses
Identify what a document says about ending the arrangement, notice methods and dates. Do not assume a particular clause will operate as expected.
Notice periods
Record any stated notice period, required recipient and method of communication, and verify before relying on it.
Renewals
Find any renewal wording and related dates and confirm which version of the agreement is current.
Confidentiality
Locate provisions describing confidential information, permitted disclosures and responsibilities after termination.
Intellectual property
Identify references to ownership, licensing, reuse and rights in deliverables or third-party materials.
Limitation of liability
Identify caps, exclusions, indemnities or risk allocation language. Whether these provisions are effective needs case-specific assessment.
Dispute resolution
Locate the process described for raising a dispute, escalation or mediation, and any references to courts.
Governing law and jurisdiction
Look for the stated legal system or forum. Cross-border questions can be more complex than the clause alone.
Late payment and invoices
Compare any payment wording with authoritative information for the relevant jurisdiction and transaction.
Changes and signing
Identify agreed variations, schedules, signatories and document versions, and distinguish signed terms from drafts.
Keep factual records together
You may wish to keep the complete signed agreement, relevant schedules, correspondence about agreed changes and a record of dates or questions for an adviser. Check information against original documents. Avoid uploading confidential contracts through public website forms.
Official information and legislation
Use authoritative sources to understand the wider legal framework. Check whether they apply to your jurisdiction and situation.
- GOV.UK: late commercial payments and debt recovery
- Legislation.gov.uk: Unfair Contract Terms Act 1977
- Legislation.gov.uk: Contracts (Rights of Third Parties) Act 1999
